Manager – Corporate & Regulatory Affairs

Job Description / Responsibility

Organize meeting minutes of the BOD & other Committee meetings through physical presence and by hearing proceedings from sound files ;
Arrange numerous Board resolutions for the entities and for the associate under the Group;
Organize Loan Agreements and other required Agreements between the Company and its Subsidiaries/ Associates, and with other third parties and arranging related resolutions approving the agreements;
Ensure timely quarterly compliance reports and other regulatory compliance reports from the entities under the Group/Holding and arranging consolidated compliance reports for BOD;
Organize meeting & teleconference, prepare minutes of meeting, actions list & provide necessary administration support to legal and corporate affairs department;
Following up with the subsidiary entities Internal/ External Corporate Secretaries ensuring that the entities are properly and regularly submitting all related compliance reports/ documents/ corporate Annual Returns to the respective local regulators;
Developing other corporate & regulatory policies/framework and policy manuals intended to keep the company current with governance best practices;
Organize and arrange filing of important and relevant documents.
Keeping update on change of regulatory laws & inform the management on effect of the changes in laws from time to time; and
Any other duties as and when entrusted by the management or by the Company Secretary.
